Licensing a business in Russia is not an application to the state body. This is the management of regulatory access to the market.
The key question is not whether a license can be obtained. The key question is how to keep it and not stop the business.
Effective licensing starts with three checks:
- Does the company really require a license and, if so, what kind of license?
- Is the licensing requirements enforceable not only on paper but also in operational reality?
- What regulatory risks will arise after obtaining a license and how to manage them?
If these issues are not resolved in advance, a company may successfully obtain a license but face suspension, cancellation or administrative and even criminal liability due to systemic inconsistencies.
When licensing is required
The issue of licensing arises if the company plans or already implements:
- activities expressly specified in the law as licensed (medicine, pharmaceuticals, education, transportation, communications, television broadcasting, personal data processing, industrial safety, alcohol trafficking, etc.);
- operations subject to special permitting regimes (for example, export control, technical regulation in certain industries);
- business expansion in regulated sectors (FinTech with elements of payment services, EdTech with the issuance of educational documents);
- acquisition of a Russian company that already holds a license to verify its purity and the possibility of re-issuance;
- construction of a holding structure where subsidiaries conduct various licensed activities;
- Entering the Russian market through a representative office, branch or establishment of an LLC in sectors closed or restricted to foreign participation;
- challenging the refusal, suspension or cancellation of the license by the supervisory authority.
The mistake most companies make
Many companies start with the question:
- What documents do I need?
That's the wrong first question.
The right question is:
How can we build the entire life cycle of a license so that the business can work continuously and regulatory risks can be managed?
Sometimes the best result is not an immediate application, but a preliminary audit of the readiness for licensing control. Sometimes it is the choice of another legal structure that allows you to legally avoid licensing. Sometimes, work with the regulator before the start to get its preliminary position.
Licensing does not require formal collection of references, but strategic structuring of business processes.
Step 1. Determine whether the activity is subject to licensing
The first step is not to examine the list of documents, but to legally qualify what the company is doing or will be doing.
The key source is Federal Law No. 99-FZ “On licensing of certain types of activities” and industry laws. However, this analysis is not limited to.
It is necessary to check:
- accurate description of the activities in the company’s charter (OKVED does not replace the substantive analysis);
- the actual content of the transactions, not their marketing name;
- The presence of educational, medical, pharmaceutical or other regulated component even in complex products (for example, EdTech platform with mentoring vs. educational activities;
- the need to obtain not only a license, but also related permits, certificates, sanitary and epidemiological conclusions;
- restrictions for foreign participation in the authorized capital of companies carrying out strategically significant activities.
The error at this stage leads either to illegal work without a license with all the risks involved, or to the loss of time and money to obtain an unnecessary license.
Step 2. Check the applicable licensing requirements
Requirements for the license applicant and the licensee are contained in the provisions on licensing specific types of activities. They almost always concern:
- availability of premises on a legal basis (property or lease);
- qualifications of personnel (education, experience, certificates);
- technical equipment, equipment, software;
- compliance with sanitary, fire protection, town-planning standards;
- availability of production control system, internal documentation;
- In some cases, the business reputation of the leader and participants.
It is critical for international business to compare these requirements with the real ability to fulfill them through a Russian legal entity. Nominal compliance on paper is easily destroyed at the first on-site inspection of the licensing authority.

Step 4. Choose the right procedure and organ
The Russian licensing system is decentralized. Licenses are issued by different authorities: Roszdravnadzor, Rosobrnadzor, the Ministry of Culture, the FSB, the Ministry of Emergency Situations, regional authorities and others. Determining the correct addressee is a task where an error leads to the return of documents and loss of time.
The choice of procedure is also important:
- Standard obtaining of a new license;
- re-registration in connection with reorganization, change of address or list of works;
- changes to the license register when expanding the types of activities;
Each procedure has its own characteristics, terms and requirements for a set of documents.
Step 5. Prepare and submit an application
At this stage, a package of documents is collected on the inventory approved by the regulations. But formality is not enough. Important:
- accurate filling of all forms, including the list of the proposed works (services);
- compliance of the declared addresses with the actual;
- completeness of notarization, translations (for foreign documents);
- correct payment of state duty;
- Reference to current administrative regulations – they are updated frequently.
Errors in the application lead either to a refusal to accept documents, or to a refusal to issue a license after verification.
Step 6. Pass documentary and field check
After submitting the application, the licensing authority shall conduct:
- Documentary verification – assessment of the declared information;
- on-site inspection (in most cases mandatory) – assessment of the actual conformity of premises, personnel, equipment.
The on-site inspection should be prepared not as a “exam”, but as a demonstration of a really functioning system. The inspector records not only the presence, but also the efficiency, as well as the understanding of the staff of their duties.
Unpreparedness for inspection is one of the main reasons for refusal.
Step 7. Obtain a license or qualified refusal
Obtaining a license is not the final point, but the entry point into the permanent licensing control regime. It is important to immediately implement a system for tracking changes in legislation, the timing of re-registration and the grounds for unscheduled inspections.
If a license is refused, it is necessary to analyze:
- the reason for the refusal;
- the possibility of eliminating violations and re-submission;
- judicial prospect of appeal.
In some cases, administrative appeals are faster and more effective than judicial appeals, in others only the court will protect the rights of the company.
Step 8. Establishing a licensing compliance system
The license requires compliance with the requirements continuously, not only at the time of verification. It is necessary:
- monitor changes in legislation and adapt internal processes in a timely manner;
- Maintain documents in an up-to-date state;
- track the expiration of certificates, employee certification, lease agreements;
- conduct internal audits at least once a year.
Licensing compliance for international business is often complicated by language barriers, remote management, and an incomplete understanding of local procedures. We need a system, not one-off consultations.
Step 9. Responding correctly to inspections, suspension and cancellation
If the licensing authority detects violations, it is possible:
- the order of removal;
- suspension of the license;
- appeal to the court with a request to cancel the license.
Mistakes are particularly costly at this stage. It is necessary:
- to execute orders promptly and accurately, recording the execution documented;
- upon suspension, immediately cease the licensed activity to prevent criminal risks;
- In case of cancellation threat, build protection, including elimination of violations and negotiations with the regulator.
Gross reaction or neglect almost always leads to the worst-case scenario.
Step 10. Managing Licensing Risks in Dynamics
A license is an asset that needs to be protected. The management strategy includes:
- Planning re-registration when changing any key business parameters;
- due diligence of license purity in M&A;
- Scenario planning in case of tightening of regulation;
- Building a constructive dialogue with the relevant regulator, not just a response to its actions.
It is important for international groups that local management in Russia have a direct channel of communication with qualified lawyers who understand not only the letter, but also the practice of applying licensing legislation.

Sometimes a company can legally avoid licensing if it structures its activities properly. But it requires precise legal qualifications. Let's compare the two modes:

How to strengthen your position before applying for a license
The best licensing strategy starts before the procedure starts.
During the planning phase, it is desirable to:
- conduct a legal audit of activities for licensing;
- compare the requirements for the applicant with the real state of the company;
- to work out the architecture of the corporate structure – perhaps to allocate the licensed activity into a separate legal entity;
- Check the restrictions on foreign investment;
- assess the qualifications of the staff and the need for additional recruitment;
- to enter into informal consultations with the regulator in advance (where possible and appropriate);
- prepare internal documents (policies, regulations, procedures) before submitting an application.
This drastically reduces the risk of rejection and subsequent claims.
Common mistakes in licensing in Russia
- Start the activity without checking the need for a license. Leads to heavy fines, confiscation, suspension of activities and criminal prosecution in severe cases.
- Focus on the OCVED instead of meaningful analysis. OCVED are statistical codes, they do not determine licensing.
- Create an appearance of conformity without real compliance. It is detected at the first field inspection.
- Ignore licensing requirements for premises and equipment. It is not enough to have a lease agreement - the room must actually meet all the standards.
- Forget about re-licensing. Change of address, list of works, reorganization - without re-issuance, the license may become invalid.
- Miss deadlines. The delay in payment of the fee, filing an application for re-issuance, elimination of violations under the order carries legal consequences.
- Ignore the license control after receipt. Getting is just the beginning. Without compliance, the license can be lost.
- Try to solve problems through “connections” rather than through legally verified actions. With digitalization of control and registries, this has stopped working and creates additional risks.
- Underestimate reputational requirements. For some types of activity, the presence of a criminal record with a manager or disqualification is an unconditional basis for refusal or cancellation.

Answer 15 questions:
- What exactly does the company do from a legal point of view?
- Is this activity included in the lists established by 99-FZ or special laws?
- Are there any license exemptions for a particular type of activity?
- What kind of work (services) as part of the licensed type do we plan to provide?
- Which authority issues the license and what is its current regulations?
- What are the requirements for premises, personnel, equipment?
- Can our company really implement them, including with regard to foreign participation?
- Are there restrictions on foreign investment or special permits (FAS, Government Commission)?
- Are all the documents for the premises and employees ready and valid?
- What time will it take to prepare and the procedure for obtaining a license?
- Are there grounds for refusing extradition in our particular case?
- How will we maintain compliance after obtaining a license?
- What events (movement, change of director) will require re-registration?
- What are the risks of suspension or cancellation of a license in our industry?
- What commercial scenario we consider successful: Is it just to get a license or build a sustainable regulatory platform for business in Russia?
What a strong licensing strategy looks like
A strong strategy includes five levels:
1. Regulatory Qualification – the exact qualification of activities, the definition of applicable rules, authority and permitting regime.
2. Pre-Application Structuring – bringing the company into compliance with the requirements of: premises, personnel, equipment, internal documents, the decision of the issue of foreign control.
3. Application & Inspection Management – preparation of an impeccable package of documents, training of personnel for inspection, support of on-site assessment.
4. Licensing Compliance – implementation of processes that ensure continuous compliance with requirements, monitoring of changes in legislation, internal audits.
5. Lifecycle & Crisis Management – re-issuance, extension, protection during inspections, appeal, minimization of damage in case of threat of suspension / cancellation, structuring of transactions with the licensed asset.
Without a fifth level, the license remains vulnerable, no matter how flawless the filing.

Can a foreign company obtain a license in Russia directly?A foreign legal entity cannot be a Russian license applicant. The license is received by an LLC established in Russia or other legal entity that meets the requirements. For a branch / representative office - another permitting mechanism (accreditation), not replacing a license.

Yes, first in administrative order to a higher authority, then in court. Prospects depend on the grounds for refusal and the quality of the preparation of the complaint / claim.
More importantly: For long-term work, both are critical. But in case of discrepancy, the real state revealed at the inspection will outweigh any papers.
