Agency Agreements in International Trade

An international agency agreement is not just a mediation agreement. It is a tool for managing sales, risks, taxes and relationships in a foreign jurisdiction.

The question is not how quickly to reach an agreement. The main question is whether the company will retain control over customers, money and legal protections after three years of active sales.

Therefore, competent work with an agent begins with three checks:

What kind of commercial model are we building, and are we creating a hidden permanent establishment? What right and what court will really protect our interests? What happens when the relationship ends and who stays with the customer base?

If these three issues are not resolved at the start, the business could face tax claims, block payments, a market loss, or a multi-million dollar agent lawsuit for compensation.

When an international agency agreement is required

An international agency agreement is necessary if:

  • foreign manufacturer enters the market of Russia or CIS countries through a local agent
  • The company sells goods or services through a representative without establishing its own office.
  • Legally separate the commercial activities of the agent from the supplier
  • The agent seeks buyers, negotiates terms or signs contracts on behalf of the principal
  • Intellectual property and customer base must be protected
  • The supplier wants to avoid registration of a permanent establishment and tax liabilities abroad
  • Work is carried out in sanction-sensitive industries
  • The agent receives a reward for an action or result
  • Relationships are built on a long-term basis with exclusive rights
  • Disputes can potentially be considered in arbitration or a Russian court

The mistake most companies make

Many people start by asking:

What template to make the contract?

That's the wrong first question.

Right question:

What kind of commercial and legal framework are we building so that an agent can make a profit without creating legal problems?

Sometimes a classic agency contract is better. Sometimes a distributor. Sometimes a commission. Sometimes a mixed model with a dedicated service contract. Sometimes an agent is needed only at the start, and then the business moves to direct sales.

The choice of the form of work determines not the name of the contract, but the strategy of presence in the market of Russia and the CIS.

Step 1. Determine the commercial model and role of the agent

An agent in international trade is not a universal figure. We need to determine right away.

  • The agent only finds clients (intermediary)
  • Agent agrees on the essential terms of transactions
  • The agent enters into contracts on behalf of the principal
  • Agent signs documents on the basis of power of attorney
  • agent participates in execution (acceptance, storage, service)
  • The agent promotes the product and incurs marketing costs
  • The agent receives a reward for the action or result
  • Agent has exclusive right to territory

Each of these options changes the risk profile. An agent who signs contracts on behalf of the principal creates direct liabilities for the company. The agent bearing the promotion costs may claim increased compensation upon termination of the contract. Exclusivity requires a particularly careful study of the conditions for leaving the relationship.

Step 2. Select applicable law and jurisdiction

It's a central decision.

There are several options on the Russian and CIS market:

The issue of arbitration against a state court is decided separately. In the context of Russia and the CIS, it is important to take into account that the decision of the Russian arbitration court abroad is executed worse than the decision of international arbitration. But if all the assets of the principal in Russia and the agent is also Russian, going to a foreign arbitration can be excessively expensive and slow.

Important: the agency contract under Russian law (Chapter 52 of the Civil Code of the Russian Federation) has mandatory norms. For example, an agent may claim reimbursement of costs and compensation even after termination if the transaction is concluded through his efforts. Ignorance of these rules often leads to lawsuits.

Step 3. Clearly define authority, territory and product

The agency agreement should exclude ambiguity:

  • territory: country, region, cities
  • products: product groups, SKU, future products
  • powers: seek, negotiate, sign, collect money
  • Clients: specific sectors, key customers, government customers
  • Restrictions: ban on working with competitors, ban on active sales outside the territory

Any ambiguity turns into either lost profits or a dispute over abuse of power. This is especially critical when working in Russia and the CIS, where government contracts and large purchases often require the personal presence of the principal.

Step 4. Structure remuneration and reporting

In international trade, it is important to divide:

  • commission for orders found by the agent
  • Repeated orders from the same customers
  • Post-termination commission (post-termination commission)
  • Compensation for costs reimbursed separately
  • the procedure for calculating the base (shipment, payment by the customer, net price)
  • currency of payment and currency control
  • tax implications for the principal and agent

The reporting of the agent should not be formal, but evidential: reports on negotiations, applications, interim correspondence, documentary confirmation of the volume of transactions. In the event of a dispute, it is the lack of systematic reporting that deprives the principal of the ability to control the agent.

Step 5. Settlement of termination and compensation

Ending a relationship with an agent is the most explosive part.

It is necessary to determine in advance:

  • contract
  • grounds for early termination
  • notification period
  • Compensation upon termination (indemnity/compensation)
  • The fate of the customer base
  • obligation of the agent to transmit contacts, order history
  • terms of payment of remuneration for transactions in the negotiation stage

Russian law and the law of many CIS countries do not contain an analogue of compensation under the EU Directive on independent commercial agents, but the parties can agree on it. If applicable law is English and the contract expressly provides for it, the agent may claim indemnity or compensation under common law or on the basis of the rules of the chosen law. If the contract is silent, disputes over compensation become unpredictable.

The fate of the customer base: Without clear contractual clauses, the agent often keeps in touch and starts working with a competitor. Therefore, the agreement includes obligations on data transfer, a ban on poaching customers and employees, the confidentiality of commercial information.

Step 6. Take into account the requirements of Russian and sanctions legislation

When working through an agent in the Russian/CIS market, it is necessary to build:

  • reservation on compliance with sanctions regimes
  • Suspension of Supplies under Sanctions Risks
  • Assurance of the Agent of the End Recipients and End-Use
  • ban on re-export to sanctioned countries or persons
  • foreign exchange control conditions (transaction passport, currency repatriation, liability for violation)

Russian currency legislation imposes duties on residents. If the agent is a Russian company, he must ensure that the principal’s foreign exchange earnings are credited to accounts in authorized banks within a certain period of time. If the agent himself receives money from buyers, he becomes a participant in currency transactions, which requires additional regulation.

Step 7. Collect and maintain evidence base

As with any international contract, evidence decides everything.

Storage must be ensured:

  • signed agreement and annexes
  • client approval protocols

  • payment documents

Step 9. Selecting a dispute resolution mechanism

Agency agreements often use arbitration (ICC, LCIA, VIAC) or ad hoc. But it should be borne in mind that many disputes with agents in Russia and the CIS are of a local nature: a claim for the recovery of a commission, for the recognition of the contract as valid, for compensation. A Russian state arbitration court can be faster and cheaper if both parties are in Russia, and enforcement of the decision does not require foreign recognition.

Step 10. Building an exit strategy and protecting the customer base

Getting out of an agency relationship is a commercial project.

The strategy includes:

  • assessment of payments to the agent upon termination
  • customer transfer plan directly to the principal
  • Preparation of technical capabilities (contracts, contacts)
  • Protection of intellectual property and trade secrets
  • ban on poaching employees and customers
  • Legal pressure in case of violation
  • security measures in case of threat of withdrawal of the client base

It is often more profitable to settle a withdrawal through a structured termination agreement than to get involved in a lengthy dispute.

Specifics of Russia and the CIS: a checklist of 15 questions

Before concluding an agency agreement, it is necessary to answer:

Who will be the counterparty - directly agent or its affiliated structure? Has the agent’s reputation and purity been verified? Does the agent have a real ability to fulfill obligations (office, staff, experience)? Will the agent be exclusive or non-exclusive? What are the boundaries of the territory and the list of goods? Which of the parties determines the commercial terms of the final contracts? Will the agent sign contracts on behalf of the principal? In what currency and under what conditions is the commission paid? Are the requirements of Russian currency legislation taken into account? How will sales volume and remuneration be confirmed? What right was chosen and why? What is the dispute resolution mechanism – arbitration or court? What happens to customers after the contract is terminated? Is there a risk of permanent representation? Are anti-corruption, sanctions and confidential clauses included?

Typical mistakes in building agency relations in Russia and the CIS

  1. Use the template without taking into account mandatory norms

Russian law (Chapter 52 of the Civil Code) contains rules that cannot be derogated from to the detriment of an agent. The standard contract in English law may not work.

  1. Transferring too much authority to an agent

This is a direct road to PP, joint and several liability and disputes over the limits of authority.

  1. Do not settle the fate of customers after termination

The company pays a commission, grows customers, and after a breakup, the agent continues to work with the same customers from a competitor.

  1. Ignore currency controls

Delay in crediting foreign currency earnings in the Russian Federation can lead to fines of up to 100% of the amount of uncredited funds.

  1. Not checking the sanctions risks

The agent may be associated with sanctioned persons or territories, which creates secondary sanctions risks for the principal.

  1. No compensation upon termination

In the absence of an agreement, the agent files a lawsuit, and the amount of compensation is determined by the court unpredictably.

  1. Mix Agency and Employment Relations

An agent who works with only one principal and is managed by him as an employee may be requalified as an employee with relevant tax consequences.

Can I work in Russia without registering an agency contract?

As a general rule, an agency contract does not require registration. However, if it contains elements of a commercial concession (franchising) or is subject to control under foreign exchange law, there may be special requirements.

Which right is better to choose for an agency agreement?

If an agent and all assets in Russia – Russian law is often optimal. If the principal is abroad and international enforcement is important, English or Swiss law is combined with arbitration.

How to avoid permanent representation of a foreign company in Russia through an agent?

Limit the authority to preparatory or support activities, not to grant the right to sign contracts, to ensure the independence of the agent (the presence of other clients, his staff, commercial risk), to structure the remuneration as a market commission.

Is the agent entitled to claim compensation upon termination of the contract?

If the applicable law or contract provides for such compensation, yes. Under Russian law, there is no direct provision for compensation for the client base, but an agent can recover damages if the terms of termination are violated, or remuneration for transactions concluded due to his efforts.

What to do if the agent retains the client base after termination?

Immediately submit a legally based claim, record the breach, assess the possibility of interim measures and begin negotiations for a structured withdrawal.

Is it possible to conclude an agency contract with a Russian citizen as a self-employed person?

Technically yes, but there is a high risk of re-qualification in employment. Careful consideration of agent status is required.
